Seller Listing Agreement

This agreement is between [LEGAL ENTITY NAME] doing business as Ballast Boats and the seller identified in the listing approval record. It applies when the seller accepts it and approves the final listing.

1Seller identity and authority

2Required disclosures

Seller must accurately disclose ownership, liens and payoff requirements, title or documentation status, known material defects, collision or grounding history, sinking or flood damage, structural repairs, known engine or drivetrain problems, material modifications, hours and any uncertainty about hours, included and excluded equipment, and trailer ownership and condition. Seller must identify the source of statements it cannot independently verify and must not describe uncertain facts as confirmed. Seller will promptly report changes and provide reasonably requested supporting records securely.

3Final listing approval

Ballast may prepare or edit copy using seller submissions and automated tools. Seller must review and approve the entire final listing, photographs, disclosures, reserve selection, included property, and auction settings before publication. Seller is responsible for the factual accuracy of approved seller information, but this does not excuse Ballast’s own knowing misrepresentation or other nonwaivable duties. Ballast may refuse misleading content or require corrections. No claim of inspection, verified title, guaranteed condition, or certified hours may be made without a documented basis.

4Auction instructions and fees

Any listing fee and its refund policy must be shown and accepted before charging. Proposed policy: if Ballast declines or cancels a listing before publication, refund any listing fee; after publication, the fee pays for listing services and is refundable only for Ballast’s material failure or as required by law. Ballast collects a separate buyer fee and deducts nothing from the seller’s purchase price under this agreement. No seller commission is owed unless separately disclosed and accepted in writing.

5Availability and seller conduct

Seller must keep the property available throughout the auction, avoid conflicting sale commitments, provide reasonable inspection access as described in the listing, respond accurately to bidder questions, and maintain the vessel’s condition. Seller must not bid on its listing, solicit shill bids, conceal related party bidding, manipulate the reserve during an active auction, or divert an accepted winning sale to avoid a fee. Any pre completion withdrawal must comply with applicable law and the disclosed auction type, including restrictions applicable to no reserve auctions. Immediately notify Ballast of casualty, legal impediment, or a material error.

6Commitment to winning buyer

When the auction is announced complete with a valid winning bid meeting the disclosed sale conditions, seller agrees to sell to that buyer at the accepted winning price. Seller will contact the buyer within two business days, close within ten business days unless mutually extended, provide required ownership documents and an accurate bill of sale, deliver the included property in the represented condition subject to disclosed changes, and discharge liens or complete a documented agreed payoff. Seller will not demand an additional price, hidden fee, or unilateral new condition. Seller warrants authority to convey and transferable title as agreed; a condition disclaimer does not eliminate those obligations.

7Condition and closing responsibility

A listing may state that the vessel is sold as is and where is to the extent permitted by law. That language addresses condition warranties only to the extent legally effective; it does not excuse fraud, inaccurate material disclosures, title failures, express warranties, or mandatory duties. Dealer sales may require additional disclosures and warranty language. Seller and buyer arrange purchase payment, taxes as legally allocated, inspection, transportation, insurance, title transfer, and any independent closing provider. Ballast does not act as escrow holder or guarantee payment. Seller should verify cleared funds and documentation before releasing possession.

8Default and refunds

If seller refuses or cannot perform without buyer fault, seller must promptly notify Ballast and the buyer and provide supporting information. Ballast may refund the buyer fee, remove the listing, or suspend seller access. This agreement imposes no automatic seller default penalty and does not authorize Ballast to collect the boat price from seller. Buyer and seller retain remedies under their sale agreement and applicable law. The Terms of Use indemnity applies to qualifying third party claims caused by seller misconduct; it does not create double recovery or liability for Ballast’s own conduct.

9Content permission and privacy

Seller grants the listing content license in the Terms of Use and represents it has necessary photo and text permissions. Seller will not publicly post personal identity documents, bank instructions, or unredacted title records containing sensitive information. Information exchanged for closing may be used only for legitimate transaction, legal, and recordkeeping purposes. Ballast may retain listing and acceptance records according to the published Privacy Policy and applicable law.

10Acceptance and amendments

Seller accepts the Terms of Use and this Seller Listing Agreement through a recorded acceptance control and separately approves the final listing version. Preserve seller identity, timestamp, agreement versions, approved listing, reserve instructions, and fee disclosures. Material listing or commercial changes require renewed approval. Any signed addendum must identify the listing and the authorized parties. The Terms of Use govern disputes with Ballast and related platform protections.
